Terms of Service

These Terms of Service (“Terms”) govern access to and use of WordingsAI and any related websites, applications, APIs, models, tools, outputs, documentation, support services, and other services made available by WordingsAI (together, the “Service”).

By accessing or using the Service, creating an account, clicking to accept these Terms, or otherwise using WordingsAI, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” and “Customer” refer to that organisation.

If you do not agree to these Terms, you must not access or use the Service.

1. About WordingsAI

WordingsAI is a software platform that may assist users with insurance, reinsurance, contract, policy wording, clause comparison, drafting, analysis, document review, and related workflow tasks.

The Service may use artificial intelligence, machine learning, automation, retrieval systems, third-party models, data extraction, document parsing, and other computational methods to generate, transform, summarise, compare, classify, or analyse information.

WordingsAI is a technology provider. Unless expressly agreed in a separate written agreement signed by WordingsAI, WordingsAI does not provide legal advice, insurance advice, reinsurance advice, financial advice, underwriting advice, broking advice, tax advice, regulatory advice, actuarial advice, risk management advice, or professional advisory services.

2. Eligibility and Account Registration

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service.

You agree to provide accurate, current, and complete registration, billing, and account information, and to keep that information updated.

You are responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account, whether authorised by you or not, except to the extent caused by WordingsAI’s proven breach of these Terms.

You must notify WordingsAI promptly if you become aware of any unauthorised access to or use of your account.

3. Licence to Use the Service

Subject to your compliance with these Terms and payment of all applicable fees, WordingsAI grants you a limited, non- exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business purposes during the applicable subscription term.

You must not use the Service except as permitted by these Terms, any applicable order form, and applicable law.

WordingsAI may modify, suspend, discontinue, or restrict any part of the Service at any time, including to protect security, comply with law, prevent misuse, improve functionality, or manage operational availability.

4. User Responsibilities

You are solely responsible for:

• determining whether the Service is suitable for your intended purpose;
• the accuracy, legality, quality, and completeness of all documents, prompts, instructions, data, content, and other materials you upload, submit, or make available to the Service (“Input”);
• reviewing, validating, testing, approving, and deciding whether to use any text, analysis, comparison, recommendation, classification, summary, output, document, clause, wording, checklist, risk flag, or other material generated or provided by the Service (“Output”);
• ensuring that any Output is appropriate for the relevant transaction, jurisdiction, insurance programme, reinsurance arrangement, contract, policy, insured, reinsurer, broker, carrier, regulator, counterparty, and business context;
• obtaining all necessary legal, regulatory, financial, insurance, underwriting, compliance, actuarial, professional, and other expert review before relying on any Output;
• all decisions, acts, omissions, communications, filings, contracts, policies, endorsements, slips, treaties, binders, certificates, schedules, claims positions, coverage positions, negotiations, transactions, and business actions taken in connection with Input, Output, or use of the Service;
• maintaining appropriate backups of your own data and documents; and
• ensuring that your use of the Service complies with all applicable laws, regulations, professional duties, contractual obligations, and internal policies.

You acknowledge that AI-generated Output may be inaccurate, incomplete, misleading, outdated, inconsistent, non- compliant, commercially unsuitable, or otherwise inappropriate. You must independently verify Output before using, sharing, publishing, relying on, or acting upon it.

5. No Professional Advice; No Reliance

The Service and all Output are provided for informational, drafting, productivity, comparison, workflow, and decision- support purposes only.

Output is not professional advice and must not be treated as a substitute for independent professional judgement. Without limitation, Output must not be treated as:

• legal advice;
• insurance, reinsurance, underwriting, broking, claims, coverage, or placement advice;
• financial, investment, tax, accounting, actuarial, regulatory, compliance, or risk management advice;
• a recommendation to enter into, amend, cancel, renew, decline, bind, place, underwrite, reinsure, settle, litigate, or rely upon any contract, policy, treaty, slip, endorsement, clause, certificate, or transaction;
• a guarantee that wording is enforceable, market-standard, compliant, complete, suitable, or fit for any particular purpose; or
• a guarantee that a risk, exclusion, clause, conflict, gap, ambiguity, inconsistency, exposure, duty, sanction, regulatory issue, or financial consequence has been identified.

You must obtain advice from appropriately qualified professionals before making decisions that may have legal, insurance, reinsurance, regulatory, financial, tax, accounting, operational, commercial, or other material consequences.

You agree that you will not rely solely on the Service or any Output when making decisions that may result in financial loss, contractual liability, coverage disputes, regulatory exposure, professional liability, claims leakage, uninsured losses, underinsurance, overinsurance, premium loss, loss of business, reputational damage, or other adverse consequences.

6. AI Output and Financial Loss Disclaimer

You expressly acknowledge and agree that:

1. Output may contain errors, omissions, hallucinations, incorrect assumptions, unsuitable wording, incorrect clause references, inaccurate comparisons, incomplete summaries, flawed financial or legal implications, or other defects.
2. Output may not reflect the latest law, regulation, market practice, insurer requirements, reinsurer requirements, sanctions position, policy form, treaty wording, endorsement, filing requirement, or commercial context.
3. Output may be influenced by the quality, completeness, format, wording, and context of the Input provided by you.
4. Similar prompts or documents may generate different Output.
5. WordingsAI does not warrant, represent, or undertake that any Output will be accurate, complete, current, reliable, compliant, enforceable, market-standard, suitable, profitable, loss-avoiding, or fit for your intended purpose.
6. You are solely responsible for any use of, reliance on, communication of, or decision made in connection with Output.

To the fullest extent permitted by applicable law, WordingsAI shall not be liable for any financial loss, economic loss, trading loss, underwriting loss, premium loss, loss ratio deterioration, claims leakage, uninsured loss, underinsured loss, overpayment, reserve deterioration, missed recovery, reinsurance collection issue, coverage dispute, declinature, settlement loss, regulatory fine, tax liability, penalty, lost profit, lost revenue, loss of opportunity, loss of goodwill, reputational damage, business interruption, or other direct, indirect, consequential, special, incidental, punitive, exemplary, or similar loss arising from or relating to:

• any Output generated by or through the Service;
• any error, omission, hallucination, inaccuracy, incompleteness, ambiguity, inconsistency, or defect in Output;
• any reliance on Output;
• any decision, act, omission, contract, policy, wording, clause, endorsement, treaty, slip, certificate, schedule, notice, filing, claim, coverage position, negotiation, placement, renewal, cancellation, or transaction made, prepared, reviewed, amended, approved, declined, or communicated using or in connection with Output;
• any failure by you to obtain independent professional review; or
• any use of the Service for financial, insurance, reinsurance, legal, contractual, regulatory, commercial, or operational decision-making.

This clause applies whether the alleged liability arises in contract, tort, negligence, misrepresentation, breach of statutory duty, restitution, strict liability, product liability, professional liability, or otherwise, and whether or not WordingsAI was advised of the possibility of such loss.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

7. Prohibited Uses

You must not, and must not permit any third party to:

• use the Service for any unlawful, fraudulent, harmful, abusive, deceptive, or unauthorised purpose;
• use the Service to create, support, or facilitate unlawful discrimination, harassment, exploitation, harm, or illegal activity;
• submit content that infringes, misappropriates, or violates any intellectual property, confidentiality, privacy, data protection, contractual, or other rights;
• upload malicious code, malware, viruses, worms, ransomware, spyware, or other harmful material;
• interfere with, disrupt, overload, reverse engineer, decompile, disassemble, scrape, crawl, extract, copy, benchmark, or attempt to derive source code, model weights, prompts, system instructions, algorithms, architecture, or underlying components of the Service, except to the extent such restriction is prohibited by law;
• use the Service to develop, train, improve, or benchmark a competing product or service without WordingsAI’s prior written consent;
• remove, obscure, or alter any proprietary notices;
• bypass usage limits, security controls, access restrictions, or technical measures;
• share account credentials or allow unauthorised access;
• use the Service to make automated decisions about individuals where prohibited by law or without required human review and safeguards;
• input personal data, special category data, confidential information, regulated information, or third-party materials unless you have all required rights, consents, notices, and lawful bases to do so; or
• represent Output as having been produced, reviewed, approved, certified, or guaranteed by WordingsAI, a lawyer, insurer, reinsurer, broker, regulator, or other professional unless expressly confirmed in writing.

8. Customer Input and Output

As between you and WordingsAI, you retain ownership of your Input.

Subject to your compliance with these Terms, WordingsAI assigns to you any rights it may have in Output generated specifically for you by the Service, to the extent such rights are capable of assignment. Where assignment is not possible, WordingsAI grants you a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, adapt, distribute, display, perform, and create derivative works from such Output for your lawful business purposes.

You acknowledge that:

• Output may not be unique;
• the same or similar Output may be generated for other users;
• AI-generated material may not be protected by intellectual property rights in all jurisdictions;
• WordingsAI does not guarantee that Output will not infringe third-party rights; and
• you are responsible for checking whether your use of Output infringes any third-party rights or contractual restrictions.

You grant WordingsAI a non-exclusive, worldwide, royalty-free licence to host, copy, process, transmit, display, use, and create technical derivatives of Input and Output as necessary to provide, maintain, secure, support, and improve the Service, comply with law, enforce these Terms, and prevent misuse.

If a separate written agreement states that your Input and Output will not be used to train or improve models, that written agreement will prevail to the extent of any conflict.

9. Confidentiality

Each party may receive confidential information from the other party. “Confidential Information” means non-public information that is marked confidential or should reasonably be understood to be confidential given its nature and the circumstances of disclosure.

The receiving party must use the disclosing party’s Confidential Information only to perform or receive the Service, must protect it using reasonable care, and must not disclose it except to personnel, contractors, advisers, service providers, or affiliates who need to know it and are bound by confidentiality obligations, or as required by law.

Confidential Information does not include information that is or becomes public without breach of these Terms, was already known without restriction, is independently developed without use of the disclosing party’s Confidential Information, or is lawfully received from a third party without restriction.

10. Data Protection and Privacy

Your use of the Service is subject to WordingsAI’s Privacy Policy and, where applicable, any data processing agreement between the parties.

You are responsible for ensuring that you have all required rights, permissions, notices, consents, and lawful bases to provide personal data to WordingsAI and to use the Service in connection with such personal data.

You must not upload unnecessary sensitive personal data or regulated data unless expressly permitted under your agreement with WordingsAI and supported by appropriate safeguards.

WordingsAI will process personal data in accordance with applicable data protection laws and the parties’ applicable data processing terms.

11. Third-Party Services and Models

The Service may integrate with, rely on, or make available third-party services, models, APIs, software, infrastructure, data providers, document storage systems, identity providers, analytics providers, payment processors, or other third-party products.

WordingsAI does not control third-party services and is not responsible for third-party acts, omissions, availability, security, accuracy, outputs, content, terms, policies, or failures.

Your use of third-party services may be subject to separate terms and privacy policies. WordingsAI is not liable for any loss arising from third-party services except to the extent such liability cannot be excluded by law.

12. Fees, Billing, and Taxes

If you purchase a paid subscription or paid services, you agree to pay all fees described in the applicable order form, checkout page, invoice, or other written agreement.

Fees are non-refundable except as expressly stated in these Terms or required by law.

You are responsible for all taxes, duties, levies, and similar governmental charges, excluding taxes based on WordingsAI’s net income.

WordingsAI may suspend or terminate access to the Service for late payment, failed payment, chargebacks, or suspected fraud.

13. Availability, Support, and Changes

WordingsAI may provide support, maintenance, updates, upgrades, patches, or modifications at its discretion or as described in a separate written agreement.

WordingsAI does not guarantee that the Service will be uninterrupted, error-free, secure, or available at any particular time, unless expressly stated in a separate service level agreement.

The Service may be unavailable due to maintenance, upgrades, outages, third-party failures, security incidents, force majeure events, or other circumstances.

WordingsAI may change or remove features, functionality, models, workflows, integrations, or limits from time to time.

14. Beta Features

WordingsAI may offer beta, preview, experimental, pilot, trial, or early-access features (“Beta Features”).

Beta Features are provided “as is”, may be changed or discontinued at any time, may be less reliable than generally available features, and may produce inaccurate or unexpected results.

To the fullest extent permitted by law, WordingsAI disclaims all liability arising from or relating to Beta Features.

15. Intellectual Property Rights

The Service, including its software, design, interface, workflows, templates, prompts, model configurations, documentation, databases, know-how, algorithms, trade secrets, names, logos, trademarks, and other proprietary materials, is owned by WordingsAI or its licensors and is protected by intellectual property and other laws.

Except for the limited rights expressly granted in these Terms, no rights are granted to you in or to the Service.

You must not copy, modify, distribute, sell, lease, sublicense, create derivative works from, or exploit the Service except as expressly permitted by these Terms.

Feedback, suggestions, ideas, or recommendations you provide may be used by WordingsAI without restriction or compensation, provided that WordingsAI will not identify you as the source without your consent.

16. Warranties and Disclaimers

The Service and all Output are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, WordingsAI disclaims all warranties, representations, conditions, and terms, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, compliance, enforceability, and professional standard of care.

Without limitation, WordingsAI does not warrant that:

• the Service or Output will meet your requirements or expectations;
• the Service will be uninterrupted, secure, timely, or error-free;
• Output will be accurate, complete, current, reliable, lawful, non-infringing, compliant, commercially suitable, enforceable, or fit for any purpose;
• any errors, omissions, vulnerabilities, or defects will be corrected;
• the Service will identify every issue, risk, inconsistency, exclusion, obligation, clause, gap, ambiguity, conflict, or financial exposure; or
• any particular business, legal, regulatory, insurance, reinsurance, financial, or commercial outcome will be achieved.

You are solely responsible for implementing appropriate human review, professional review, controls, testing, validation, governance, audit, and approval processes before using or relying on Output.

17. Limitation of Liability

To the fullest extent permitted by applicable law, WordingsAI and its affiliates, officers, directors, employees, contractors, licensors, suppliers, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, business, opportunity, goodwill, reputation, anticipated savings, data, contracts, use, production, premium, investment, recovery, or economic advantage, whether incurred directly or indirectly.

To the fullest extent permitted by applicable law, WordingsAI will not be liable for any loss arising from or relating to:

• use of or inability to use the Service;
• Input, Output, or reliance on Output;
• financial, insurance, reinsurance, legal, regulatory, tax, underwriting, actuarial, claims, coverage, contractual, or commercial decisions made using or in connection with the Service;
• unauthorised access to or use of your account resulting from your failure to protect credentials;
• third-party services, models, integrations, platforms, or data;
• interruption, delay, security incident, data loss, corruption, or system failure; or
• any matter beyond WordingsAI’s reasonable control.

To the fullest extent permitted by applicable law, WordingsAI’s total aggregate liability arising out of or relating to these Terms, the Service, or any Output will not exceed £100.

The limitations and exclusions in these Terms apply to all claims, whether based in contract, tort, negligence, misrepresentation, breach of statutory duty, restitution, strict liability, product liability, professional liability, or otherwise, even if a remedy fails of its essential purpose and even if WordingsAI has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, wilful misconduct, or any other liability that cannot be excluded or limited under applicable law.

18. Indemnity

You agree to defend, indemnify, and hold harmless WordingsAI and its affiliates, officers, directors, employees, contractors, licensors, suppliers, and service providers from and against any claims, demands, actions, proceedings, losses, liabilities, damages, penalties, fines, costs, and expenses, including reasonable legal fees, arising from or relating to:

• your use of the Service;
• your Input;
• your use of, reliance on, publication of, or distribution of Output;
• any contract, policy, wording, clause, endorsement, slip, treaty, certificate, schedule, claim, coverage position, filing, communication, decision, act, or omission created, reviewed, amended, approved, declined, or made using or in connection with Output;
• your breach of these Terms;
• your violation of law or third-party rights;
• your failure to obtain required professional review, consents, permissions, or approvals; or
• any dispute between you and any customer, insured, insurer, reinsurer, broker, intermediary, regulator, counterparty, employee, contractor, or third party.

WordingsAI may assume exclusive control of any matter subject to indemnification, and you agree to cooperate with WordingsAI’s defence.

19. Suspension and Termination

WordingsAI may suspend or terminate your access to the Service, with or without notice, if:

• you breach these Terms;
• payment is overdue;
• your use creates security, legal, regulatory, operational, reputational, or commercial risk;
• WordingsAI suspects unauthorised, fraudulent, abusive, or unlawful activity;
• required by law, court order, regulator, or third-party provider; or
• WordingsAI discontinues the Service.

You may stop using the Service at any time. If you have a paid subscription, cancellation will take effect according to the applicable subscription terms.

Upon termination, your right to use the Service will cease immediately. Sections that by their nature should survive termination will survive, including provisions on intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, payment obligations, governing law, and dispute resolution.

20. Export, Sanctions, and Compliance

You must comply with all applicable export control, sanctions, anti-bribery, anti-corruption, anti-money laundering, modern slavery, and trade compliance laws.

You must not use the Service in or for the benefit of any jurisdiction, person, entity, or activity subject to applicable sanctions or trade restrictions.

You represent that you are not prohibited from using the Service under applicable law.

21. Publicity

WordingsAI may identify you as a customer using your name and logo in customer lists, websites, investor materials, and marketing materials unless you notify WordingsAI in writing that you do not consent.

WordingsAI will not issue a press release naming you without your prior consent.

22. Changes to these Terms

WordingsAI may update these Terms from time to time.

If changes are material, WordingsAI will take reasonable steps to notify you, such as by posting updated Terms, sending an email, or providing in-product notice.

Your continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

23. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or relating to them, the Service, or Output are governed by the laws of England and Wales, without regard to conflict of law rules.

The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms, the Service, or Output, except that WordingsAI may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, or business interests.

24. Notices

WordingsAI may provide notices by email, in-product message, posting on its website, or other reasonable means.

You may send notices to WordingsAI at the contact details provided on WordingsAI’s website or in your applicable order form.

Notices are deemed received when sent, posted, or delivered, unless applicable law requires otherwise.

25. Assignment

You may not assign, transfer, or delegate these Terms or your rights or obligations under them without WordingsAI’s prior written consent.

WordingsAI may assign, transfer, or delegate these Terms in connection with a merger, acquisition, reorganisation, sale of assets, change of control, financing, or by operation of law.

26. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, legal, and enforceable. If modification is not possible, the provision will be severed, and the remaining provisions will remain in full force and effect.

27. Entire Agreement

These Terms, together with any applicable order form, privacy policy, data processing agreement, acceptable use policy, and other documents incorporated by reference, constitute the entire agreement between you and WordingsAI regarding the Service and supersede all prior or contemporaneous agreements, understandings, representations, and communications regarding the Service.

If there is a conflict between these Terms and a signed written agreement or order form between you and WordingsAI, the signed written agreement or order form will control to the extent of the conflict.
